1. Acceptance of Terms

By accessing or using PraxiVantage ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all users, including healthcare professionals, clinic administrators, and any other persons accessing or using the Service.

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the modified Terms.

2. Description of Service

PraxiVantage is an AI-powered practice management platform designed for healthcare professionals in India. Our Service includes:

AI Receptionist: Automated patient communication via WhatsApp and voice calls, including appointment booking, inquiries, and follow-ups.

Smart Appointments: Online booking system with automated reminders and no-show management.

Practice Website: Professional website builder optimized for healthcare practices.

Google Business Profile Management: Review management, profile updates, post scheduling, and reputation monitoring.

Social Media Automation: Automated content creation and posting across social platforms.

Brand Identity: Professional branding materials including logos, business cards, and prescription pads.

3. Eligibility

To use PraxiVantage, you must be a licensed healthcare professional or an authorized representative of a healthcare practice.

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization.

By registering, you represent and warrant that you have the necessary licenses, permits, and authorizations to practice healthcare in your jurisdiction.

4. Account Registration

You must provide accurate, complete, and current information during registration. Failure to do so constitutes a breach of these Terms.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must notify us immediately of any unauthorized access or security breach. We are not liable for any loss or damage arising from your failure to protect your account.

You may not share your account credentials or allow others to access your account without authorization.

5. Google Business Profile Features

Authorization: By connecting your Google Business Profile to PraxiVantage, you authorize us to access and manage your GBP on your behalf, including responding to reviews, updating business information, and creating posts.

Ownership: You represent that you are the owner or authorized manager of the Google Business Profile you connect. Connecting a profile you do not own or have authority to manage violates these Terms.

Your Responsibility: You remain responsible for the accuracy of your business information and compliance with Google's policies. While our AI assists with review responses and content, you should review and approve content according to your preferences.

Settings and Preferences: You can configure auto-publish settings for reviews and posts. We will act according to your configured preferences.

Revocation: You may revoke our access to your Google Business Profile at any time through your dashboard or Google Account settings.

6. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

Use the Service for any illegal or unauthorized purpose, including violating healthcare regulations.

Upload or transmit viruses, malware, or other malicious code.

Attempt to gain unauthorized access to our systems or other users' accounts.

Impersonate any person or entity, or falsely represent your affiliation.

Use the Service to send spam, unsolicited communications, or harass patients.

Provide false or misleading information about your practice, credentials, or services.

Violate any applicable laws, regulations, or third-party rights.

7. AI-Generated Content

Our Service uses artificial intelligence to generate content suggestions, including review responses, social media posts, and website copy.

AI Assistance, Not Replacement: AI-generated content is provided as assistance. You are responsible for reviewing, editing, and approving all content before it is published or sent.

No Medical Advice: Our AI does not provide medical advice. Patient communications are limited to administrative matters such as appointment scheduling and general inquiries.

Quality Control: While we strive for accuracy, AI-generated content may occasionally contain errors. You should review all content for accuracy and appropriateness.

Your Responsibility: You assume full responsibility for any AI-generated content that you approve and publish.

8. Compliance Obligations

Healthcare Regulations: As a healthcare provider, you are responsible for complying with all applicable healthcare laws and regulations, including patient privacy requirements.

DPDP Act 2023: We comply with India's Digital Personal Data Protection Act 2023. You are responsible for obtaining necessary patient consents and ensuring your use of our Service complies with the Act.

HIPAA: For users in the United States or handling data of US patients, we offer HIPAA-compliant configurations. A Business Associate Agreement (BAA) is available upon request.

Medical Records: You are responsible for maintaining medical records in accordance with applicable retention requirements. Our Service is not a medical records system.

Patient Consent: You are responsible for obtaining appropriate consent from patients for communications sent through our Service.

9. Payment Terms

Subscription Plans: Access to PraxiVantage requires a paid subscription. Current pricing and plan details are available on our website.

Billing Cycle: Subscriptions are billed monthly or annually, depending on your selected plan. Payment is due at the beginning of each billing cycle.

Payment Methods: We accept major credit cards, debit cards, UPI, and bank transfers. All payments are processed securely through our payment partners.

Refunds: Refunds are available within 14 days of initial subscription if you are not satisfied. After this period, subscriptions are non-refundable.

Price Changes: We may change our pricing with 30 days' notice. Price changes will take effect at your next billing cycle.

Taxes: Prices are exclusive of applicable taxes (GST). You are responsible for paying all taxes associated with your subscription.

10. Intellectual Property

Our Property: PraxiVantage, including its software, AI models, design, content, and trademarks, is owned by us and protected by intellectual property laws.

License to Use: We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during your subscription term.

Your Content: You retain ownership of content you create or upload to the Service, including practice information, patient data, and custom materials.

Feedback: If you provide feedback or suggestions about the Service, we may use such feedback without obligation to you.

Restrictions: You may not copy, modify, distribute, sell, or lease any part of our Service, nor may you reverse engineer or attempt to extract the source code.

11. Third-Party Services

Our Service integrates with third-party platforms including Google Business Profile, WhatsApp Business, and various social media platforms.

Third-Party Terms: Your use of these integrations is subject to the respective third-party terms of service and privacy policies.

No Endorsement: We do not endorse or assume responsibility for third-party services. We are not liable for their availability, accuracy, or conduct.

API Changes: Third-party platforms may change their APIs or policies, which may affect certain features of our Service. We will work to maintain functionality but cannot guarantee uninterrupted service.

12. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

We do not guarantee any specific results from using the Service, including patient acquisition, review growth, or revenue increases.

We are not responsible for changes in Google's or other third parties' policies that may affect your profile or our Service features.

The Service is not intended to replace professional medical judgment or to provide medical advice.

13. Limitation of Liability

To the maximum extent permitted by law, PraxiVantage shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

This includes, without limitation, loss of profits, data, business opportunities, or goodwill, whether arising from breach of contract, negligence, or any other theory.

Our total liability for any claims arising from or related to the Service shall not exceed the total fees paid by you during the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such cases, our liability will be limited to the maximum extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless PraxiVantage, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from:

Your use of the Service or violation of these Terms.

Your violation of any third-party rights, including intellectual property or privacy rights.

Any content you create, upload, or share through the Service.

Your violation of any applicable laws or regulations.

Any claim related to your healthcare practice or patient interactions.

15. Termination

You may terminate your account at any time through your dashboard or by contacting us. Termination will be effective at the end of your current billing cycle.

We may terminate or suspend your account immediately, without prior notice, if you breach these Terms or engage in fraudulent or illegal activity.

Upon termination, your right to use the Service will immediately cease. You may request a data export before account closure.

Sections relating to intellectual property, disclaimers, liability, and indemnification shall survive termination.

We reserve the right to delete your data within 90 days of account termination, except where retention is required by law.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra, India.

Notwithstanding the foregoing, we may seek injunctive or other equitable relief in any court of competent jurisdiction.

17. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes by posting the new Terms on this page and updating the "Last Updated" date.

For material changes, we will provide additional notice via email or through our platform at least 30 days before the changes take effect.

Your continued use of the Service after any changes indicates your acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service.
